Bitreserve Terms of Service

Welcome to Bitreserve, a platform provided by Bitreserve, LLC ("Bitreserve," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website (bitreserve.ai), services, and platform (collectively, the "Services") when you create an account with us. By accessing or using our Services, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree, please do not use our Services.
1. Overview of Services
Bitreserve is a non-custodial platform that provides automated instructions for allocating business cash flows to Bitcoin purchases through integrated third-party partners. We serve operating businesses across a range of industries — including, as initial use cases, real estate operators and property managers — and we add support for additional industries, systems, and partners over time. Integrated third-party partners may include accounting systems (e.g., QuickBooks), industry-specific operating systems (e.g., Rent Manager), and licensed Bitcoin and Lightning payment processors. Bitreserve does not hold, manage, or custody your funds or Bitcoin at any time. All financial transactions are executed by third-party partners in accordance with their terms and applicable regulations.
2. Eligibility
To create an account and use our Services, you must:
- Be at least 18 years old or the age of majority in your jurisdiction.
- Be a resident of a jurisdiction where our Services are legally available (currently limited to the United States).
- Have the legal authority to enter into these Terms, either as an individual or on behalf of a legal entity (e.g., a property management company or LLC).
3. Account Creation and Responsibilities
3.1 Account Creation
To use our Services, you must create an account by providing accurate and complete information, including:
- Your name and email address.
- For business accounts: company name, address, phone number, and integration credentials for the accounting and operating systems you use (such as QuickBooks OAuth authorization, Rent Manager API credentials, or similar) to enable synchronization of financial and operational data.
- For invited users (including individual owners, partners, or beneficiaries a business chooses to grant access to): email address and the permissions granted to you by the inviting business.
You agree to keep your account information up to date and ensure that integration access to your connected systems remains active and valid to facilitate seamless integration with Bitreserve.
3.2 Account Security
You are responsible for maintaining the security of your account, including your login credentials (email and password) and any integration credentials (API keys, OAuth tokens, etc.) you authorize Bitreserve to use. You agree to:
- Not share your account or integration credentials with others.
- Notify us immediately at contact@bitreserve.ai if you suspect unauthorized access to your account or connected systems.
Bitreserve is not liable for any losses or damages resulting from unauthorized use of your account or credentials due to your failure to secure them.
3.3 Account Types and Roles
Bitreserve supports flexible account structures to fit how different businesses operate:
- Business Accounts: The primary account held by a business (for example, a property management company, operator, or other company) that configures Bitcoin allocation rules, connects integrations, and manages users.
- Invited Users: Individuals invited into a business account with role-based permissions, which may include administrative, finance, accounting, or view-only access.
- Beneficiary or Partner Accounts: Individuals or entities (for example, property owners, investors, or partners) who are granted limited access by a business to view dashboards, receive notifications, or review activity relevant to them.
The inviting business is responsible for configuring appropriate permissions for its users and beneficiaries.
4. Use of Services
4.1 Permitted Use
You may use our Services to:
- Configure automated cash flow allocation rules for Bitcoin purchases.
- Integrate with accounting systems (e.g., QuickBooks), industry-specific operating systems (e.g., Rent Manager), and licensed Bitcoin and Lightning payment processors.
- Access dashboards to view Bitcoin holdings and transaction logs.
- Receive notifications about your account and Bitcoin purchase activities.
4.2 Prohibited Use
You agree not to:
- Use the Services for any illegal or unauthorized purpose.
- Attempt to reverse-engineer, hack, or interfere with the Services.
- Use the Services to transmit malicious code, viruses, or harmful content.
- Misrepresent your identity or provide false information during account creation or onboarding.
- Use the Services in a manner that violates the rights of third parties, including intellectual property rights.
4.3 Third-Party Integrations
Our Services rely on third-party partners to execute transactions, manage funds, and synchronize data. These partners currently include accounting systems (such as QuickBooks / Intuit), industry-specific operating systems (such as Rent Manager), and a licensed Bitcoin and Lightning payment processor. Additional partners may be added over time. You agree to:
- Comply with the terms of service and privacy policies of these third-party partners.
- Set up and maintain accounts with the partners required for the integrations you use (for example, an Intuit account connected to QuickBooks Online, a Rent Manager account with API access, or a business account with our payment processing partner).
- Provide Bitreserve with the necessary permissions to access these accounts for integration purposes (e.g., API tokens or OAuth authorizations).
Bitreserve is not responsible for the performance, availability, or actions of third-party partners.
5. Non-Custodial Nature of Services
Bitreserve does not hold, manage, or custody your funds, Bitcoin, or other assets. All financial transactions, including Bitcoin purchases and fiat currency movements, are executed by licensed third-party payment processors in accordance with your instructions and their terms. Bitreserve's role is limited to providing automated instructions and facilitating integrations. You acknowledge that:
- You bear all risks associated with Bitcoin price volatility, transaction fees, and third-party partner performance.
- Bitreserve is not liable for any losses resulting from third-party actions, market conditions, or your configuration of cash flow allocation rules.
6. Intellectual Property
All content, trademarks, and intellectual property associated with the Services, including the Bitreserve platform, website, and documentation, are owned by Bitreserve or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not copy, modify, distribute, or create derivative works of our intellectual property without prior written consent.
7. Privacy
Your privacy is important to us. Our Privacy Policy, available at https://bitreserve.ai/privacy, explains how we collect, use, and protect your personal information. By using our Services, you consent to our data practices as described in the Privacy Policy.
8. Termination
8.1 By You
You may terminate your account at any time by contacting us at contact@bitreserve.ai. Upon termination, you will lose access to the Services, and any pending Bitcoin purchase instructions will be canceled.
8.2 By Bitreserve
We may suspend or terminate your account if you:
- Violate these Terms.
- Engage in illegal or fraudulent activities.
- Misuse the Services or harm our systems.
We will notify you of suspension or termination via email, except where prohibited by law.
8.3 Effect of Termination
Upon termination, your license to use the Services ends, and you must cease all use. Bitreserve is not liable for any losses resulting from termination, including missed Bitcoin purchase opportunities.
9. Limitation of Liability
To the maximum extent permitted by law, Bitreserve and its affiliates, officers, directors, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or Bitcoin value, arising from your use of the Services. Our total liability will not exceed $250. This limitation applies regardless of the legal theory (contract, tort, or otherwise).
10. Indemnification
You agree to indemnify and hold harmless Bitreserve and its affiliates, officers, directors, and employees from any claims, damages, or losses arising from:
- Your use of the Services.
- Your violation of these Terms.
- Your non-compliance with applicable laws or third-party terms.
- Any disputes between you and third-party partners (e.g., Intuit/QuickBooks, Rent Manager, or our payment processor).
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved through binding arbitration in Seattle, Washington, under the rules of the American Arbitration Association (AAA). You waive the right to participate in class actions or class-wide arbitration.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Services at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
