End User License Agreement

Effective date: October 27, 2026

This End User License Agreement (the “Agreement”) governs your access to and use of BitReserve’s website, application, software, and related services (collectively, the “Services”). By accessing or using the Services, you agree to this Agreement. If you use the Services for an organization, you represent that you have authority to bind that organization.

1. License Grant

Subject to this Agreement, BitReserve grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business purposes during the period in which you are authorized to use them.

2. Ownership

BitReserve and its licensors retain all right, title, and interest in the Services, including software, designs, text, graphics, trademarks, and other intellectual property. Except for the limited license above, this Agreement grants no ownership interest or other rights in the Services.

3. Restrictions

You may not:

  • copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Services except as expressly permitted by law;
  • reverse engineer, decompile, or attempt to discover source code or non-public interfaces, except where applicable law prohibits this restriction;
  • bypass security or access controls, interfere with the Services, or use the Services to violate law or another person’s rights;
  • use automated means to access the Services in a manner that exceeds documented interfaces or reasonable usage limits; or
  • remove proprietary notices from the Services.

4. Accounts and Authorized Use

You are responsible for activity under your account and for maintaining the security of your sign-in methods. You must provide accurate information, promptly notify BitReserve of suspected unauthorized access, and ensure that only authorized users access your account.

5. Third-Party Services

The Services may connect to third-party products, including QuickBooks Online and payment or digital-asset providers. Those products are governed by their own terms and privacy practices. BitReserve does not control third-party services and is not responsible for their availability, acts, or omissions.

6. Financial and Tax Matters

BitReserve provides software and workflow automation, not legal, tax, accounting, investment, or financial advice. Digital assets are volatile and may lose value. You are responsible for reviewing instructions, transactions, journal entries, reports, and compliance obligations before relying on them.

7. Updates and Availability

BitReserve may update, suspend, or discontinue parts of the Services. Updates may be required for continued use. BitReserve does not guarantee that the Services will always be uninterrupted or error-free.

8. Privacy

BitReserve’s Privacy Policy explains how information is collected, used, shared, and protected when you use the Services.

9. Termination

This Agreement remains effective until terminated. You may terminate it by discontinuing use of the Services and closing your account where available. BitReserve may suspend or terminate access if you violate this Agreement, create security or legal risk, or no longer have authorization to use the Services. Sections that by their nature should survive termination will survive.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” BITRESERVE DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Some jurisdictions do not permit certain disclaimers, so they may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BITRESERVE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICES. LIABILITY THAT CANNOT LEGALLY BE LIMITED REMAINS UNAFFECTED.

12. Governing Terms

This Agreement supplements BitReserve’s Terms of Service. If a provision of this Agreement conflicts with the Terms of Service regarding the software license, this Agreement controls for that conflict. If any provision is unenforceable, the remaining provisions remain effective.

13. Changes

BitReserve may update this Agreement. Material changes will be identified by updating the effective date or by another reasonable notice. Continued use after an update becomes effective constitutes acceptance of the updated Agreement.
